Biography
Dan Fales practices in the Business Representation & Transactions Group where he assists public and private companies in the federal income tax and business planning areas, as well as business owners and public company executives.
Dan has served as a tax and business advisor to family offices throughout his career. He works from formation to investment and family growth stages. He has helped numerous families navigate the inter-generational wealth transfers. He has also counseled family offices in private investments.
Prior to joining KMK Law, Dan served as a CPA at Clark Schaeffer Hackett for more than 25 years where he applied his knowledgeable insight to every stage of a portfolio company’s private equity life cycle, from acquisition through the company’s ultimate disposition. A veteran of working with private equity funds and transaction services, Dan has experience in a variety of transactions including initial acquisitions by funds; expansion acquisitions of the initial portfolio company; tax restructurings; debt, venture capital, and private equity financings; and mergers and acquisitions. Dan advised clients on structuring acquisitions, developing management compensation programs, and providing tax-efficient structures for an ultimate liquidity event. He regularly helped clients implement tax restructuring to maximize after-tax results. Dan’s work with international companies has offered him familiarity with restructurings on a global level. He has significant international experience, from assisting with foreign operations to minimizing the organizations overall tax exposure, and reducing entity organizational risk. Dan combines cross-border transaction experience with local tax knowledge to assist clients with intricate international tax rules.
Dan has significant tax controversy experience in federal and state matters from audit through litigation. Additionally, Dan has represented business owners and public company executives in their personal investment and tax matters.
