Full-service collaboration with all our clients
We handle all aspects of public finance involving traditional issuers of municipal securities, such as state agencies, cities, counties, townships, schools, colleges and universities, as well as special districts, such as port authorities and utility (water and sewer) districts in Ohio and Kentucky. We also serve as underwriters or placement agent counsel, letter of credit bank counsel and bond counsel for taxable variable rate note issues. Here are some examples of our public-finance activities:
- Preparing documentation and rendering approving opinions for tax-exempt municipal issues for general obligation, special tax and revenue obligations, lease-purchase agreements, and certificates of participation
- Preparing documentation and rendering approving opinions for taxable obligations issued either by traditional municipal issuers or by private corporate issuers
- Representing underwriters or placement agents in preparation of offering and disclosure documentation for purchase and sale of municipal securities
- Representing commercial banks issuing letters of credit for municipal bond issues and/or participating in rate management (SWAP) agreements and representing these same institutions in guaranteed investment contracts and defeasance escrow arrangements
- Representing borrowers involved in municipal conduit or economic development bond issues, such as tax increment financing
- Representing new and established businesses in assembling real estate development packages incorporating sophisticated governmental financing tools, such as:
- Community redevelopment area tax exemptions
- Enterprise zone tax exemptions
- Loan guarantees
- Job creation tax credits
- Community development block grant (CDBG) small business loans
